Reygenix Sales Agent Program

Terms and Conditions

1. Purpose of the Program

The Reygenix Sales Agent Program allows approved independent referral partners to introduce prospective customers to Reygenix for eligible products and services.

A Sales Agent may earn a commission when a valid referral results in a completed and fully paid transaction that satisfies all requirements under these Terms.

Participation in the Program does not create an employment, agency, partnership, joint venture, franchise, or other representative relationship between the Sales Agent and Reygenix.

2. Eligibility

To participate as a Sales Agent, an applicant must:

1. Be at least eighteen (18) years old;
2. Complete the Reygenix Sales Agent registration process;
3. Provide the information and identification documents required by Reygenix;
4. Provide accurate, complete, and current registration information;
5. Obtain approval from Reygenix; and
6. Agree to these Terms and the applicable Reygenix Privacy Notice.

Reygenix employees are not eligible to participate as Sales Agents.

Reygenix reserves the right to approve or reject an application at its discretion, subject to applicable law and these Terms.

3. Independent Referral Partner

Sales Agents are independent referral partners.

A Sales Agent is not an employee, representative, authorized agent, contractor, or contracting party of Reygenix and has no authority to:

• bind Reygenix to a contract;
• sign agreements on behalf of Reygenix;
• issue official quotations or invoices unless expressly authorized;
• promise discounts, prices, delivery dates, installation schedules, warranties, or other terms on behalf of Reygenix;
• collect customer payments on behalf of Reygenix; or
• make representations that they are an employee or official representative of Reygenix.

Sales Agents must accurately represent their relationship with Reygenix.

4. Referral Methods

Reygenix recognizes the following referral methods:

4.1 Referral Link

A Sales Agent may use an assigned referral link to introduce a prospective customer to Reygenix.

A referral generated through a referral link is attributed to the Sales Agent only when the referral is properly recorded by Reygenix's system and satisfies these Terms.

If the customer later contacts Reygenix independently without the referral link or otherwise cannot reasonably be attributed to the Sales Agent's referral, the referral may not qualify for commission.

4.2 Agent-Submitted Referral

A Sales Agent may submit a prospective customer's information through the Reygenix Sales Agent system.

The Sales Agent must confirm that:

• the referral is based on a genuine customer inquiry, interest, or business opportunity;
• the information submitted is accurate to the best of the Sales Agent's knowledge;
• the referral is not fabricated;
• the referral is not submitted solely to generate a commission; and
• the Sales Agent has complied with the applicable privacy requirements when submitting the customer's personal information.

Submitting a customer's information does not guarantee that the referral will be accepted or become commissionable.

5. Customer Attribution

Reygenix uses a first valid referral principle.

Where multiple Sales Agents attempt to refer the same customer for the same transaction, the commission will generally be attributed to the first referral that is validly recorded and accepted by Reygenix.

Reygenix's records concerning referral timestamps, referral links, submitted information, customer inquiries, and transaction records may be used to determine attribution.

Reygenix's determination of referral attribution shall be based on its available records and applicable Program rules.

6. Referral Validity Period

A referral remains eligible for attribution for thirty (30) calendar days from the date the referral is validly recorded or submitted.

If the customer does not complete a qualifying transaction within the applicable referral period, the referral expires unless Reygenix expressly extends or reactivates the referral.

A referral does not automatically create a perpetual claim to future transactions from the customer.

7. Existing Customers

An existing Reygenix customer may generate a commissionable transaction when a Sales Agent legitimately introduces or generates a new transaction that was not already an active lead or transaction being handled by Reygenix.

No commission shall be paid where:

• the customer was already an active lead for the same transaction;
• Reygenix was already actively handling the same opportunity;
• the transaction was already in progress before the referral;
• the Sales Agent merely claims an existing transaction without generating a legitimate referral; or
• the referral otherwise fails the requirements of these Terms.

8. Commission Rate

An eligible Sales Agent shall earn a commission equal to five percent (5%) of the applicable Commissionable Transaction Value.

Commissionable Transaction Value

"Commissionable Transaction Value" means the actual amount received by Reygenix for eligible products or services, excluding:

• taxes;
• refunds;
• discounts;
• delivery charges;
• other non-commissionable charges; and
• amounts that Reygenix has not actually received.

Example

If Reygenix receives ₱100,000 in Commissionable Transaction Value:

₱100,000 × 5% = ₱5,000 commission

The commission is calculated only on the qualifying amount actually received by Reygenix.

9. When a Commission Is Earned

A commission is not earned merely because:

• a customer clicks a referral link;
• a customer submits an inquiry;
• a quotation is issued;
• a customer places an order;
• an invoice is issued; or
• a customer makes an incomplete or partial payment.

A commission becomes eligible to become an Earned Commission only when:

1. the referral is valid and properly attributed;
2. the applicable transaction is eligible;
3. Reygenix has actually received the applicable payment;
4. the transaction has been completed;
5. the transaction has not been cancelled, refunded, reversed, or determined to be fraudulent; and
6. Reygenix completes its required three (3) calendar-day verification period.

Until verification is completed, the commission remains a Pending Commission.

10. Pending and Earned Commissions

Pending Commission

A Pending Commission is a potential commission associated with a transaction that has not yet completed Reygenix's eligibility and verification requirements.

Pending Commissions are not withdrawable.

Earned Commission

An Earned Commission is a commission that has satisfied all applicable requirements and has completed the three (3)-day verification period.

Only Earned Commissions may be included in an available withdrawal balance.

11. Cancellation, Refunds, Reversals, and Fraud

A commission is forfeited if the related transaction is:

• cancelled;
• refunded;
• reversed;
• fraudulent;
• invalid;
• materially disputed; or
• otherwise not completed.

If a commission was incorrectly credited because a transaction was later cancelled, refunded, reversed, fraudulent, or otherwise determined to be ineligible, Reygenix may reverse or recover the corresponding commission, subject to applicable law.

12. Withdrawal Requirements

Sales Agents may withdraw available Earned Commissions once their available balance reaches the minimum withdrawal amount of:

₱500.00

Withdrawals may be made through supported:

• GCash accounts; or
• Philippine bank accounts.

The account information supplied by the Sales Agent must be accurate and belong to the Sales Agent or otherwise be expressly accepted by Reygenix.

Reygenix is not responsible for delays or failed transfers resulting from incorrect account information supplied by the Sales Agent.

13. Withdrawal Schedule

Withdrawal requests are processed only during:

Monday to Saturday
8:00 AM to 5:00 PM

Approved withdrawals are generally processed within one (1) to three (3) business days after the withdrawal request has been accepted for processing.

Processing times may be affected by banking systems, GCash, payment providers, weekends, holidays, technical problems, or circumstances outside Reygenix's reasonable control.

14. Transfer Fees

Any applicable transaction, transfer, or withdrawal fee charged by a payment provider, bank, GCash, or other financial service provider shall be borne by the Sales Agent.

The amount ultimately received by the Sales Agent may therefore differ from the requested withdrawal amount where an applicable third-party fee is charged.

15. Prohibited Conduct

Sales Agents must not:

1. refer themselves;
2. create or submit fraudulent referrals;
3. fabricate leads or customer information;
4. create duplicate Sales Agent accounts;
5. submit referrals without legitimate customer interest;
6. manipulate referral links, tracking systems, or Program records;
7. falsely claim that a customer was referred by them;
8. submit the same customer or transaction repeatedly in an attempt to obtain priority;
9. misrepresent Reygenix, its products, services, prices, policies, or personnel;
10. promise terms that Reygenix has not authorized;
11. collect customer payments on behalf of Reygenix without written authorization;
12. use customer information for unrelated purposes;
13. unlawfully disclose customer information; or
14. engage in any activity intended to improperly generate, increase, or obtain commissions.

Reygenix may investigate suspected violations and may suspend the affected referral, commission, account, or withdrawal while an investigation is ongoing.

16. Customer Information

Sales Agents may submit information concerning customers they have legitimately communicated with for referral purposes.

Sales Agents must only submit information that is necessary and relevant to the referral.

Sales Agents must not intentionally submit excessive, irrelevant, sensitive, confidential, or unlawfully obtained personal information.

When submitting customer information, the Sales Agent must confirm that the referral is legitimate and that the information was collected and submitted in accordance with applicable privacy requirements.

Reygenix may contact the referred customer to verify the referral, discuss the customer's inquiry, provide quotations, process orders, and perform related business activities.

17. Sales Agent Responsibilities

Sales Agents are responsible for:

• maintaining accurate registration information;
• protecting their account credentials;
• keeping referral information accurate;
• complying with applicable laws;
• complying with Reygenix policies;
• maintaining appropriate confidentiality regarding customer information; and
• promptly reporting suspected unauthorized account activity.

A Sales Agent must not share their account credentials or allow another person to operate their Sales Agent account.

18. Termination

Either Reygenix or the Sales Agent may end participation in the Program at any time, subject to applicable law.

Reygenix may suspend or terminate an account for violations of these Terms, fraudulent activity, misuse of customer information, abuse of the referral system, or other conduct that materially threatens the integrity of the Program.

Termination does not automatically eliminate commissions that were already validly earned before termination.

However, pending or unearned commissions do not become earned merely because an account is terminated.

Transactions that fail the eligibility, completion, verification, or other requirements remain non-commissionable.

19. Changes to the Program

Reygenix may modify the Program, including commission rules, withdrawal procedures, eligibility requirements, referral mechanisms, or other Program terms.

Changes affecting future referrals may take effect after appropriate notice is provided.

Unless required by law, changes to commission rates or eligibility rules will not retroactively alter commissions that were already earned before the effective date of the change.

20. No Guarantee of Earnings

Participation in the Program does not guarantee that a Sales Agent will earn any particular amount of money.

Commissions depend on legitimate referrals, qualifying transactions, customer decisions, completed transactions, actual payments received by Reygenix, and compliance with these Terms.

21. Privacy

Personal information collected and processed through the Program is governed by the Reygenix Sales Agent Privacy Notice, which forms part of these Terms.

Reygenix will process personal information in accordance with applicable Philippine data privacy laws, including Republic Act No. 10173, the Data Privacy Act of 2012.

22. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Republic of the Philippines.

Any dispute arising from or relating to the Program shall, where applicable, first be addressed through good-faith communication between the Sales Agent and Reygenix before pursuing remedies available under Philippine law.

24. Acceptance

By registering for the Reygenix Sales Agent Program, the Sales Agent confirms that they:

• have read and understood these Terms;
• meet the eligibility requirements;
• agree to comply with these Terms;
• understand that commissions are subject to qualifying transactions and verification; and
• agree to the processing of their personal information as described in the applicable Privacy Notice.
